Welcome to Eunoia Technologies. These Terms of Service ("Terms") govern your access to and use of our wellness platform and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services. These Terms constitute a legally binding agreement between you and Eunoia Technologies, operating from Riyadh, Saudi Arabia.

1. Acceptance and Eligibility

By creating an account or using our services, you affirm that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. Your continued use of our services constitutes your acceptance of any updates or modifications to these Terms. We reserve the right to modify these Terms at any time, and we will provide notice of material changes through our platform or via email. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

2. Account Registration and Security

To access certain features of our platform, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities. Your organization may have additional policies regarding account usage that you must also comply with.

3. Use of Services and Acceptable Use Policy

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not use our services in any way that violates applicable local, national, or international laws or regulations. Prohibited activities include but are not limited to: attempting to gain unauthorized access to our systems or other user accounts, transmitting viruses, malware, or other harmful code, engaging in any activity that interferes with or disrupts our services, using our services to harass, abuse, or harm others, impersonating any person or entity or misrepresenting your affiliation with any person or entity, collecting or storing personal data about other users without their consent, or using our services for any commercial purpose without our express written permission. We reserve the right to investigate and take appropriate action against anyone who violates this Acceptable Use Policy, including terminating their account and reporting them to law enforcement authorities.

4. Intellectual Property Rights

All content, features, functionality, and materials available through our services, including but not limited to text, graphics, logos, images, software, data compilations, and the design and compilation thereof, are owned by Eunoia Technologies or our licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our services for their intended purpose. This license does not include any right to: modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content or materials obtained from our services. Any unauthorized use of our intellectual property may result in termination of your account and may subject you to civil and criminal penalties.

5. User Content and Data

Our services may allow you to submit, post, or share content, including personal wellness data, progress information, and other materials ("User Content"). You retain ownership of your User Content, but by submitting it to our platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display your User Content solely for the purpose of providing and improving our services. You represent and warrant that you own or have the necessary rights to all User Content you submit and that such content does not violate any third-party rights or applicable laws. We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate in our sole discretion. You acknowledge that your organization may have access to certain User Content as part of our B2B services.

6. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to our collection and use of your information as described in the Privacy Policy. We implement reasonable security measures to protect your data, but we cannot guarantee absolute security. You acknowledge that any transmission of data over the internet carries inherent risks. For B2B services, your organization may have access to certain data about your usage and progress for legitimate business purposes such as wellness program administration and reporting.

7. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, Eunoia Technologies disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that our services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content or information available through our services. Our wellness services are not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of qualified healthcare providers with any questions you may have regarding a medical condition.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Eunoia Technologies and its officers, directors, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from: your access to or use of or inability to access or use our services, any conduct or content of any third party on our services, any content obtained from our services, or unauthorized access, use, or alteration of your transmissions or content. In no event shall our aggregate liability exceed the amount you paid us in the twelve months preceding the event giving rise to the liability, or one hundred Saudi Riyals (SAR 100), whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Riyadh, Saudi Arabia.
